Introduction

These terms and conditions (the "Terms") apply to Your purchase and use of the AMPiiN Core device and related services, provided by AMPiiN Ltd. These Terms form a legal agreement between You as a User and AMPiiN, and we encourage You to read them carefully. If You, as a User, do not agree with these Terms, You must immediately discontinue Your use of the AMPiiN Core and related services.

In addition to these Terms, AMPiiN's Privacy Policy describes how AMPiiN processes information we may collect when Users use the AMPiiN Core and related services.

Definitions

For the purposes of these Terms, words and capitalised terms shall have the following meaning:

- "AMPiiN Core" or "Device" means the AMPiiN Core load management device, a hardware product that connects to electrical meters to monitor power consumption and manage load balancing across connected devices and appliances within a property.

- "AMPiiN Services" means the cloud-based platform and related services that collect, process, store, and analyse energy consumption data from the AMPiiN Core Device, and facilitate communication with Third-Party Devices.

- "Third-Party Devices" means any devices, appliances, or systems manufactured by third parties that integrate with or are controlled by the AMPiiN Core, including but not limited to EV chargers, heat pumps, smart thermostats, battery storage systems, and home automation devices.
- "Third-Party Services" means services, software, or subscriptions offered by third parties that may be accessible through or in connection with the AMPiiN Core, which may require separate fees paid through AMPiiN.

- "Energy Data" means data regarding electrical power consumption, load distribution, voltage, current, and other electrical metrics collected by the AMPiiN Core Device from Your property's electrical meter and connected devices.

- "User Data" means the Energy Data and any other data which You generate or upload through Your use of the AMPiiN Core and AMPiiN Services.

- "Intellectual Property Rights" means all rights of industrial or intellectual property, including, inter alia, (i) processes and technology (whether patentable or not); (ii) know-how, trade secrets, business models and other confidential information; (iii) copyrights and other authors' rights (e.g. in computer software, code and documentation), design rights (whether registered or unregistered), database rights and technical information of all kinds; (iv) trademarks (whether registered or unregistered), trade names and domain names; and (v) other rights of a similar kind, whether registered or unregistered.

- "Privacy Policy" means AMPiiN's privacy policy available at https://ampiin.webflow.io/utility-pages/privacy-policy

- "Website" means AMPiiN's website and any associated web portals or applications.

- "You", "Your" or "User" means a purchaser and user of the AMPiiN Core Device and related services, including both consumers and users engaged in business activities.

- "AMPiiN" or "We" means AMPiiN Ltd, company registration number 16609186 as incorporated in the United Kingdom register of companies.

Scope and Acceptance of Terms

By purchasing, installing, or using the AMPiiN Core Device, You agree to be bound by these Terms. If You do not agree with these Terms, You must not install or use the Device and should return it in accordance with our return policy.

These Terms apply to the AMPiiN Core hardware device, the AMPiiN Services (including cloud-based data processing and storage), and any related software, firmware, updates, and support services provided by AMPiiN.

Product Description and Functionality

The AMPiiN Core is a load management device designed to:
(a) Connect to Your property's electrical meter to monitor real-time power consumption and Energy Data;
(b) Communicate with Third-Party Devices to facilitate intelligent load balancing and energy management;
(c) Upload Energy Data to AMPiiN's cloud infrastructure located in the United Kingdom for processing, storage, and analysis;
(d) Optimise energy distribution across connected devices to prevent circuit overloads and maximise energy efficiency.

The AMPiiN Core is designed to be open and compatible with a wide range of Third-Party Devices and services. AMPiiN makes reasonable efforts to maintain compatibility with Third-Party Devices, but does not guarantee compatibility with all devices or that compatibility will be maintained indefinitely.

Installation and Use Requirements

Installation

Installation of the AMPiiN Core must be performed by a qualified electrician in accordance with all applicable electrical codes, regulations, and safety standards in Your jurisdiction. Improper installation may result in equipment damage, electrical hazards, or voided warranty. AMPiiN is not responsible for any damage or injury resulting from improper installation.

Internet Connectivity

The AMPiiN Core requires a stable internet connection to function properly and to transmit Energy Data to AMPiiN Services. You are responsible for providing and maintaining adequate internet connectivity. AMPiiN is not liable for service interruptions caused by internet connectivity issues.

Electrical System Compatibility

You are responsible for ensuring that Your electrical system is compatible with the AMPiiN Core Device. AMPiiN provides specifications and compatibility information, but cannot guarantee performance in all electrical configurations.

User Obligations and Permitted Use

The User agrees to only use the AMPiiN Core and AMPiiN Services for their intended purposes and as permitted pursuant to these Terms and applicable laws. When using the AMPiiN Core and AMPiiN Services, the User agrees and understands that:

- You are responsible for the proper installation, configuration, and maintenance of the AMPiiN Core Device and ensuring compliance with all applicable electrical codes and regulations;
- You are responsible for the security of Your network and any devices connected to the AMPiiN Core;
- Accessing or attempting to access AMPiiN Services by any means other than through the means AMPiiN provides is strictly prohibited;
- Engaging in any activity that disrupts or interferes with the AMPiiN Core, AMPiiN Services, or the servers and networks to which they are connected, is strictly prohibited;
- You shall not use the AMPiiN Core or AMPiiN Services for advertising, marketing, or sales activities unless expressly authorised by AMPiiN in a separate agreement;
- You are responsible for ensuring that Third-Party Devices connected to the AMPiiN Core are properly configured and compatible;
- You must promptly inform AMPiiN of any malfunction, safety concern, or security incident related to the AMPiiN Core or AMPiiN Services.

License Grant and Restrictions

License Grant

Subject to Your compliance with these Terms, AMPiiN grants You a non-exclusive, non-transferable, limited, personal, and revocable right to use the AMPiiN Core Device, related firmware, software, and AMPiiN Services for Your personal or business energy management purposes.

Except for the rights expressly granted to You in these Terms, AMPiiN grants no right, title, or interest to You in the AMPiiN Core, firmware, software, or AMPiiN Services.

Restrictions

You shall not, directly or indirectly:

- Copy, redistribute, reproduce, transfer, disclose or otherwise make available to the public any part of the AMPiiN Core firmware, software, or AMPiiN Services, or otherwise make any use that is not expressly permitted under these Terms or which otherwise infringes the Intellectual Property Rights;
- Reverse-engineer, decompile, disassemble, modify or create derivative works of the AMPiiN Core firmware, software, AMPiiN Services, or any data therein, except to the extent permitted by applicable mandatory law;
- Circumvent any technology used by AMPiiN, or its licensors, or any third party to protect the AMPiiN Core, firmware, software, AMPiiN Services, or any data therein;
- Hinder or manipulate the flow of Energy Data or information generated through the AMPiiN Core to and from AMPiiN Services;
- Resell, lease, or sublicense the AMPiiN Core Device, firmware, software, or access to AMPiiN Services without express written permission from AMPiiN;
- Tamper with, modify, or remove any hardware components of the AMPiiN Core Device except as explicitly permitted in the user documentation;
- Use the AMPiiN Core or AMPiiN Services for any illegal purpose or in violation of any applicable laws or regulations.

Data Collection, Processing, and Storage

Energy Data Collection

The AMPiiN Core continuously collects Energy Data from Your electrical meter and connected devices. This data is transmitted to AMPiiN's cloud infrastructure located in the United Kingdom, where it is processed, stored, and analysed to provide load management services and optimize energy distribution.

No User Accounts or Personal Tracking

AMPiiN Services do not require Users to create accounts. AMPiiN does not collect or maintain personal tracking data linked to individual user identities. Energy Data collected by the AMPiiN Core is associated with the Device itself, not with personal user accounts.

Data License and Usage Rights

You hereby grant to AMPiiN a worldwide, non-exclusive, limited term licence to access, use, process, and store User Data as is reasonably necessary: (a) to provide, maintain, and update the AMPiiN Core and AMPiiN Services, (b) to prevent or address service, security, support or technical issues, (c) as required by law; and (d) as expressly permitted by You.

Aggregated and Anonymised Data

AMPiiN reserves the right to process aggregated, anonymised, and de-identified Energy Data collected through Your, and other users', use of the AMPiiN Core for statistical analysis, market research, product and service development, energy consumption pattern analysis, and other internal or commercial purposes. Such aggregated data will not identify You or Your property individually.

Data Retention

AMPiiN will retain User Data for as long as necessary to provide AMPiiN Services and fulfill the purposes outlined in these Terms and the Privacy Policy. You may request deletion of Your User Data by contacting AMPiiN support, subject to any legal obligations to retain certain data.

Data Security

AMPiiN implements reasonable technical and organisational measures to protect User Data from unauthorised access, alteration, disclosure, or destruction. However, no data transmission or storage system can be guaranteed to be 100% secure. You acknowledge and accept the inherent security risks of internet-based data transmission and cloud storage.

Third-Party Devices and Services

Third-Party Compatibility

The AMPiiN Core is designed to integrate with and control various Third-Party Devices and services. AMPiiN strives to maintain broad compatibility and provides an open platform for third-party integrations. However, AMPiiN does not manufacture, control, or endorse Third-Party Devices or Third-Party Services.

No Warranty for Third-Party Products

AMPiiN makes no representations or warranties regarding the functionality, compatibility, safety, or performance of Third-Party Devices or Third-Party Services. You are solely responsible for selecting, purchasing, installing, and configuring Third-Party Devices that are compatible with the AMPiiN Core.

Third-Party Terms

Your use of Third-Party Devices and Third-Party Services is subject to the terms and conditions, warranties, and privacy policies of the respective third-party manufacturers and service providers. You are responsible for reviewing and complying with such third-party terms.

Third-Party Service Fees

Certain Third-Party Services may be offered through or in connection with the AMPiiN Core for an additional fee. Where AMPiiN facilitates access to such Third-Party Services, AMPiiN may collect payment on behalf of the third-party service provider. You agree to pay all applicable fees for Third-Party Services You choose to access. All fees are non-refundable unless otherwise specified in writing.

Changes to Third-Party Integrations

AMPiiN reserves the right to add, modify, or discontinue support for specific Third-Party Devices or Third-Party Services at any time without prior notice. AMPiiN is not liable for any loss of functionality resulting from changes to third-party integrations, except where such changes are caused by AMPiiN's breach of these Terms.

Intellectual Property Rights

All Intellectual Property Rights in and to the AMPiiN Core hardware, firmware, software, AMPiiN Services, technology, data, documentation, or other materials provided by AMPiiN, and any updates, amendments, modifications, changes, improvements, further development, and derivatives thereof, are the sole and exclusive property of AMPiiN or its licensors (as applicable).

Nothing in these Terms transfers any Intellectual Property Rights to You. You acquire only the limited license rights expressly granted in these Terms.

The AMPiiN name, logo, and all related trademarks, service marks, and trade names are the exclusive property of AMPiiN. You may not use any of AMPiiN's trademarks without AMPiiN's prior written consent.

Firmware and Software Updates

AMPiiN may from time to time provide updates, upgrades, patches, or modifications to the firmware or software of the AMPiiN Core ("Updates"). Updates may be automatically downloaded and installed without additional notice. Updates may modify or remove features, change functionality, or be required to maintain compatibility with Third-Party Devices or AMPiiN Services.

You acknowledge that refusal to install Updates may result in reduced functionality, security vulnerabilities, incompatibility with Third-Party Devices or AMPiiN Services, or cessation of support. AMPiiN is not responsible for issues arising from Your refusal to install Updates.

Limited Warranty and Disclaimers

Hardware Warranty

AMPiiN warrants that the AMPiiN Core hardware will be free from defects in materials and workmanship under normal use for a period of five (5) years from the date of original purchase. This warranty is void if the Device has been damaged by accident, misuse, improper installation, modification, or failure to follow installation and operating instructions.

Your sole remedy under this hardware warranty is, at AMPiiN's option, repair or replacement of the defective Device. To make a warranty claim, You must contact AMPiiN support within the warranty period and provide proof of purchase.

Services Warranty

AMPiiN warrants that AMPiiN Services will perform materially in accordance with the description of such services as set out on our Website and in product documentation. You understand and agree that AMPiiN Services are provided on an "as-is" and "as-available" basis, without any express or implied warranty, condition, or assurance of any kind beyond this limited warranty.

Warranty Exclusions

AMPiiN shall not be responsible for breach of warranties if caused by:

(i) hardware, software, Third-Party Devices, or other components that are not part of the AMPiiN Core or AMPiiN Services, including any modifications made by You or third parties;
(ii) errors or problems caused by You not complying with these Terms, installation instructions, or user documentation;
(iii) Your rejection of the implementation of any Update, change, or fix that would have prevented the error or problem;
(iv) errors or problems caused by third parties not acting on behalf of AMPiiN, including internet service providers, Third-Party Device manufacturers, or utility companies.

Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION 11, THE AMPiiN CORE AND AMPiiN SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, AMPiiN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AMPiiN does not warrant that the AMPiiN Core or AMPiiN Services will meet Your requirements, operate without interruption, be error-free, or be compatible with all Third-Party Devices or electrical systems. AMPiiN does not warrant that all defects will be corrected or that use of the AMPiiN Core or AMPiiN Services will be secure or free from cyber threats.

Limitation of Liability

Exclusion of Consequential Damages

To the maximum extent permitted by law, in no event will AMPiiN, its employees, licensors, or related partners be liable for any indirect, incidental, punitive, special, or consequential damages, or any loss of use, data, business, revenue, or profits (whether direct or indirect), in all cases arising out of or in connection with:

- the use or inability to use the AMPiiN Core or AMPiiN Services;
- any failure, interruption, or malfunction of the AMPiiN Core or AMPiiN Services;
- any Third-Party Device, Third-Party Service, or third-party application;
- any damage to electrical systems, appliances, or property;
- any loss or corruption of data;
- any security breach or unauthorized access to data;

regardless of legal theory, without regard to whether AMPiiN has been made aware of the possibility of those damages, and even if a remedy fails of its essential purpose.

Cap on Liability

In no event shall AMPiiN's total cumulative liability to You arising out of or related to these Terms or the AMPiiN Core or AMPiiN Services, whether in contract, tort (including negligence), or otherwise, exceed the amount You paid to AMPiiN for the AMPiiN Core Device in the twelve (12) months preceding the event giving rise to liability.

Exceptions to Limitations

Nothing in these Terms removes or limits AMPiiN's liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence, and, if required by applicable law, gross negligence or wilful misconduct.

Basis of the Bargain

You acknowledge that the limitations of liability set forth in this Section 12 reflect a reasonable allocation of risk and form an essential basis of the bargain between You and AMPiiN, and that AMPiiN would not provide the AMPiiN Core or AMPiiN Services at the current prices without these limitations.

Indemnification

To the fullest extent permitted by applicable law, You agree to indemnify, defend, and hold harmless AMPiiN and its parent company, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:

(a) Your breach of these Terms;
(b) Your use or misuse of the AMPiiN Core or AMPiiN Services;
(c) Your violation of any law, regulation, or rights of a third party;
(d) Improper installation, modification, or maintenance of the AMPiiN Core;
(e) Any damage caused to Your electrical system, Third-Party Devices, or property arising from Your use of the AMPiiN Core.

AMPiiN reserves the right to assume the exclusive defence and control of any matter for which You are required to indemnify AMPiiN, and You agree to cooperate with AMPiiN's defence of these claims. You will not settle any such claim without AMPiiN's prior written consent.

Term and Termination

Term

These Terms commence on the date You purchase or first use the AMPiiN Core (whichever is earlier) and continue for as long as You use the Device or AMPiiN Services.

Termination by AMPiiN

AMPiiN may suspend or terminate Your access to AMPiiN Services at any time if You breach these Terms, engage in fraudulent activity, or if AMPiiN reasonably believes that continued provision of services poses a security, legal, or technical risk.

AMPiiN may also discontinue AMPiiN Services entirely with reasonable notice to users, but is under no obligation to continue providing AMPiiN Services indefinitely.

Effect of Termination

Upon termination or suspension of AMPiiN Services, Your right to use AMPiiN Services will immediately cease. The AMPiiN Core hardware will continue to function for basic electrical monitoring purposes where technically feasible, but advanced features requiring cloud connectivity will be unavailable.

You agree that AMPiiN shall have no liability or responsibility to You in connection with termination or suspension of services, and AMPiiN will not refund any amount You may have already paid, to the fullest extent permitted under applicable law. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Restrictions), 9 (Intellectual Property Rights), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 17 (Governing Law).

Changes to Terms and Services

AMPiiN reserves the right to change the AMPiiN Core functionality, AMPiiN Services, and these Terms from time to time. Changes may be made to accommodate new products or features, introduce or remove functionality, adapt to legal requirements, improve security or performance, or otherwise to better adapt our products and services to AMPiiN's business needs.

If there is a material change to the AMPiiN Core functionality, AMPiiN Services, or these Terms, AMPiiN will provide notice through the Device, by email (if You have provided an email address), or on AMPiiN's official website (as appropriate), with reasonable advance notice where feasible.

Your continued use of the AMPiiN Core or AMPiiN Services after such changes will constitute acknowledgment and agreement of the modified terms. If You do not wish to continue using the AMPiiN Core or AMPiiN Services under the new version of the Terms, You may discontinue use. However, You will not be entitled to any refund of the purchase price of the Device.

Assignment and Transfer

AMPiiN may assign these Terms or any part thereof, and AMPiiN may delegate any of its obligations under these Terms, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

You may transfer Your AMPiiN Core Device to another person (such as in the event of a house sale), and these Terms will transfer with the Device. However, You may not assign these Terms or any rights hereunder to any third party for commercial purposes without AMPiiN's prior written consent.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of England and Wales, without regard to its conflict of law provisions.

Jurisdiction

Any dispute or claim arising out of or in connection with these Terms, or the breach or invalidity thereof, shall, if not settled by negotiations, be subject to the exclusive jurisdiction of the courts of England and Wales.

Consumer Rights

If You are a consumer, nothing in these Terms affects Your statutory rights under applicable consumer protection laws in Your jurisdiction. In particular, consumers in the European Economic Area and the United Kingdom have specific rights that cannot be excluded by these Terms.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between You and AMPiiN regarding the AMPiiN Core and AMPiiN Services and supersede all prior or contemporaneous communications, agreements, or understandings, whether oral or written.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

No waiver by AMPiiN of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by AMPiiN to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure

AMPiiN shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labour disputes, utility failures, internet service failures, or governmental actions.

Electronic Communications

By using the AMPiiN Core, You consent to receive electronic communications from AMPiiN related to Your Device, AMPiiN Services, Updates, and these Terms. You agree that any notices, agreements, disclosures, or other communications that AMPiiN sends to You electronically will satisfy any legal communication requirements, including that such communications be in writing.
